Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vertali Time Off platform ("the Platform"), operated by Vertali Group, a subsidiary of Platform Entertainment Group™. By signing in and using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

01Eligibility

Access to the Platform is exclusively available to active, contracted streamers and content creators operating under a valid, current agreement with Vertali Group or any of its subsidiaries and partner operations, including but not limited to Vertali Orlando, Vertali Texas, Vertali California, Vertali Georgia, Vertali South Carolina, and Vertali Group's international creator network.

You must maintain a valid, authenticated account on The Haus by Vertali (vertali.team), Vertali Group's internal collaboration platform. If your account on The Haus is suspended, deactivated, or terminated for any reason, your access to the Platform is automatically revoked.

02Active Status Requirement

For the purposes of these Terms, an "active" creator is defined as an individual who, at the time of booking time off and at the time the time off is taken, maintains a current, non-terminated, non-suspended streaming agreement with Vertali Group or an applicable Vertali subsidiary, and who is in good standing with all applicable contractual obligations, community guidelines, and internal policies.

Creators whose agreements have expired, been terminated, been suspended, or are otherwise not in full force and effect at the time of reward fulfilment shall be automatically ineligible to book or take time off, without exception. No prior approval, pending request, or confirmed booking shall survive the termination or expiry of your agreement.

03Age Requirement

By using the Platform, you represent and warrant that you are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction of residence, whichever is greater. Participants who are under the age of majority in their jurisdiction are not eligible to use the Platform. Vertali Group reserves the right to request proof of age at any time and to immediately suspend access for any user who fails to provide satisfactory proof within a reasonable timeframe.

04Account Integrity

You must access the Platform using only your own, individual, authenticated account on The Haus by Vertali. The following are strictly prohibited and will result in immediate disqualification and potential forfeiture of all earned days:

• Access through shared, borrowed, or impersonated accounts.
• Use of bot accounts, automated scripts, browser extensions, or any tool that submits requests on your behalf.
• Any attempt to manipulate, circumvent, or interfere with the Platform's booking rules, approval system, or balance calculations.
• Sharing your account credentials with any other person for any reason.

You are solely responsible for maintaining the security and confidentiality of your account credentials. Vertali Group shall not be liable for any unauthorised access to or use of your account, and any bookings made through your account shall be deemed to have been made by you.

05Nature of the Time-Off Benefit

Time off available through the Platform represents paid days off from scheduled streaming obligations, earned through participation in Vertali Group programmes (such as prediction events, promotional activities, or other initiatives designated by Vertali Group from time to time). The specific mechanism by which days are earned may vary between programmes and is determined solely by Vertali Group.

Compensation for approved time off will be calculated at your standard contracted rate as determined by your agreement with the applicable Vertali subsidiary. Earned time off is:

• Non-transferable — you cannot give, sell, or assign your earned days to another person.
• Non-exchangeable — days cannot be converted into any other benefit, bonus, or perk.
• No cash alternative — there is no monetary equivalent beyond your normal contracted rate for the day.
• Non-bankable beyond the Platform — earned days exist only within this system and have no value outside of it.

Vertali Group reserves the right to rescind, modify, or substitute the benefit at any time prior to fulfilment if circumstances require, at its sole discretion and without liability. The existence of a balance on the Platform does not constitute a guarantee that those days will be honoured in all circumstances.

06Responsible Use

The time-off benefit provided through Vertali programmes exists because Vertali chose to create it. The additional days you may earn would not otherwise exist. They are a benefit extended by Vertali Group, not a contractual entitlement and not a substitution for standard leave. Because they are a benefit rather than a right, there is a corresponding expectation that they will be used responsibly and in the spirit in which they were awarded.

This programme was designed to create an opportunity to do something meaningful with time that would not have been available to you on an ordinary day. That does not mean winners are expected to pursue extreme or exhausting activities, nor to account for every minute of the day as though it were a productivity exercise. The intention is simply that the day is used to create genuine value. Examples include spending meaningful time with loved ones, learning a new skill, completing a personal project that has been put off, volunteering, visiting somewhere new, pursuing a hobby, or attending an event that matters to you.

It is important to address a common misconception directly. Some recipients approach the benefit with the view that "it is my day off, so I can do whatever I want with it." While the day is allocated to you, that view misses the purpose of the programme. A day spent merely occupying the same room as family while everyone sits silently watching television or scrolling on their own phones for hours is not the kind of meaningful use this programme is intended to encourage. The emphasis is on genuine interaction and making memories, not merely being present in the same space.

Likewise, replacing a normal working day with an entire day of gaming, endless social media browsing, binge-watching television, or doing exactly what would have happened on any other day does not reflect the purpose of the programme. The goal is not to dictate how you spend your time, nor to suggest that Vertali controls your schedule. Rather, it is to encourage a conscious effort to use the opportunity in a positive way.

Receiving a day through this programme carries with it an expectation that you will respect the spirit of the initiative and make a genuine effort to use the time well. Vertali Group appreciates the participation that makes this benefit possible and trusts recipients to honour that understanding. Where use is, in Vertali Group's reasonable judgment, plainly contrary to the spirit in which the benefit was granted (for example, where days are repeatedly wasted rather than used meaningfully), Vertali Group reserves the right, at its sole discretion, to deny, revoke, or reschedule a request, to forfeit remaining balance, and to exclude a participant from future time-off programmes.

07Booking Rules

All bookings are subject to the following rules, which are automatically enforced by the Platform. Attempting to circumvent these rules by any means may result in suspension of access.

• Balance limit: You may not book more days than your remaining earned balance. If your balance is zero, no bookings can be made.
• Designated day off: Your designated day off cannot be booked — it is already yours. This day is assigned by your administrator and is visible on your calendar.
• Adjacent-day restriction: The day immediately before and the day immediately after your designated day off cannot be booked. Since you already have that day off, booking either adjacent day would create two consecutive days off, which is not permitted under any circumstances.
• No back-to-back bookings: Two consecutive bookable days cannot be booked. You must leave at least one working day between any two booked days. Days that are non-bookable (your day off and its adjacent days) do not count as a gap.
• Same-day cutoff: Same-day requests must be submitted before 7:00 AM Eastern Time. After 7:00 AM ET, you may only book future dates.
• No past dates: Dates that have already passed cannot be booked or retroactively claimed.
• No duplicates: A date that is already booked (whether pending or approved) cannot be booked again.

These rules exist to ensure fair scheduling across all creators and to prevent operational disruption. They are not negotiable and cannot be overridden except by an administrator acting on behalf of Vertali Group.

08Approval Process

When you submit a time-off request, it enters a pending review period. Requests are reviewed automatically by the system and are typically confirmed within 25 to 60 minutes of submission. During this period, the requested days are reserved against your balance (you cannot double-book them), but the booking is not yet final.

Upon approval, you will receive a direct message notification on The Haus confirming the approved dates and reminding you of the terms under which the benefit is granted. Approval is not guaranteed — Vertali Group reserves the right to deny any request at any stage of the process.

Approval and scheduling of any requested day off remain subject to operational requirements, scheduling availability, and business needs, as determined by Vertali Group management at its sole and absolute discretion.

09Cancellation

You may cancel a pending or approved booking at any time before the booked date, provided the date has not yet passed. Cancelled days are returned to your available balance immediately. You cannot cancel a booking after the date has passed.

Vertali Group reserves the right to cancel any booking at any time, with or without notice, if circumstances require. In such cases, the affected days will be returned to your balance.

10Privilege, Not Right

Access to the Platform and the time-off benefit is a privilege extended by Vertali Group at its sole and absolute discretion and does not constitute a right, entitlement, or guarantee of any kind. Vertali Group reserves the unrestricted right to deny, revoke, suspend, or restrict any user's access at any time, with or without cause, and with or without prior notice.

Use of the Platform does not create any expectation of continued access, nor does it establish any precedent or obligation on the part of Vertali Group to continue offering this or any similar programme. The availability of the Platform today does not guarantee its availability tomorrow.

11Conduct and Good Standing

Vertali Group reserves the right to suspend or permanently revoke access for any user whose conduct, whether on this Platform, on The Haus by Vertali, on stream, in Discord, on social media, or in any public or private forum, is deemed by Vertali Group in its sole discretion to be:

• Detrimental to the reputation, interests, or operations of Vertali Group, its subsidiaries, or Platform Entertainment Group™.
• In violation of your streaming agreement, community guidelines, or any applicable Vertali policy.
• Disruptive, harassing, or otherwise harmful to other creators, staff, or the broader Vertali community.
• Dishonest, fraudulent, or manipulative in any way relating to the Platform or the time-off benefit.

Suspension or revocation under this section may result in immediate forfeiture of all pending and unused earned days without compensation, refund, or appeal.

12Verification and Disqualification

Vertali Group reserves the right, at any time and at its sole discretion, to require you to provide documentation or other evidence of eligibility, including but not limited to proof of identity, proof of age, proof of active contract status, and proof of residence. Failure to provide such documentation within a reasonable timeframe as determined by Vertali Group shall result in immediate suspension of access and forfeiture of any pending bookings.

Vertali Group further reserves the right to suspend or permanently disqualify any user found to have provided false, misleading, or inaccurate information at any stage, or who has engaged in conduct that, in the sole judgment of Vertali Group, is contrary to these Terms, the spirit of the programme, or the interests of Vertali Group.

13Termination of Eligibility

In the event that your streaming agreement with the applicable Vertali subsidiary is terminated, expires, is suspended, or is otherwise concluded prior to a scheduled day off, your eligibility for that benefit shall be automatically and immediately forfeited without compensation, notice, or liability to Vertali Group. This applies regardless of whether the termination was initiated by you or by Vertali Group, and regardless of the reason for termination.

The benefit is contingent upon you maintaining active, good-standing status with the applicable Vertali subsidiary continuously from the date of booking through the date the time off is taken. Any gap in status, however brief, voids the entitlement.

14No Employment Relationship

Use of the Platform does not create, imply, or constitute an employment relationship between you and Vertali Group or Platform Entertainment Group™. You acknowledge that you are an independent contractor operating under your streaming agreement with the applicable Vertali subsidiary. Nothing in these Terms shall be construed as creating any partnership, joint venture, agency, fiduciary relationship, or employer-employee relationship. The time-off benefit is not a form of paid leave, vacation accrual, or employment benefit as those terms are understood under any applicable labour law.

15Tax Obligations

Any tax liability arising from the receipt of the time-off benefit (which constitutes compensation at your standard contracted rate for a day on which you do not stream) is your sole responsibility. This may include income tax, self-employment tax, VAT, or any other applicable levy in your jurisdiction of residence. Vertali Group makes no representations regarding the tax implications of the benefit, does not provide tax advice, and strongly advises you to consult your own qualified tax advisor regarding any applicable obligations.

16Indemnification

By using the Platform, you agree to indemnify, defend, and hold harmless Vertali Group, Platform Entertainment Group™, and their respective subsidiaries, affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and court costs) arising out of or in connection with: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) any dispute between you and a third party relating to the time-off benefit; or (e) any claim that your use of earned time off caused harm to any third party.

17Limitation of Liability

To the maximum extent permitted by applicable law, Vertali Group, its parent company Platform Entertainment Group™, its subsidiaries (Vertali Orlando, Vertali Texas, Vertali California, Vertali Georgia, Vertali South Carolina), and their respective officers, directors, employees, and affiliates shall not be held liable for:

• Any technical malfunctions, server outages, connectivity issues, browser incompatibilities, or any other circumstances beyond reasonable control that may prevent you from booking or managing your time off.
• Any loss of earned days, bookings, or balance data resulting from system failures, database corruption, or security incidents.
• Any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the Platform.
• Any decisions made by the automated approval system, including delays in approval or denial of requests.

You are solely responsible for ensuring your bookings are submitted in a timely manner and in accordance with these Terms. In no event shall Vertali Group's total liability to you exceed the value of one (1) day of compensation at your standard contracted rate.

18Modification and Cancellation of the Programme

Vertali Group reserves the right, at its sole and absolute discretion, to modify, suspend, or permanently discontinue the Platform or the time-off benefit in whole or in part at any time and for any reason, including but not limited to: suspected fraud or abuse, technical failures, force majeure events, business restructuring, changes in operational requirements, or any other circumstances that may compromise the fairness, integrity, or proper administration of the Platform.

In the event of discontinuation, no participant shall have any claim against Vertali Group, Platform Entertainment Group™, or any of their respective subsidiaries, officers, directors, or employees for unused balance, pending requests, or any other matter.

19Dispute Resolution

Any disputes arising from or related to the Platform or the time-off benefit shall be resolved at the sole and absolute discretion of Vertali Group management. All decisions made by Vertali Group regarding eligibility, booking rules, approval, denial, cancellation, and benefit administration are final and binding. By using the Platform, you irrevocably waive any right to challenge, contest, appeal, or litigate any decisions made by Vertali Group in connection with the Platform in any court, tribunal, or alternative dispute resolution forum.

20Governing Law & Jurisdiction

These Terms are governed by and shall be construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions. Platform Entertainment Group™, the parent company of Vertali Group, maintains its registered office at 101 N Monroe St, Suite 800, Tallahassee, FL 32301, United States. Any legal proceedings relating to the Platform shall be subject to the exclusive jurisdiction of the courts of Leon County, Florida. You consent to personal jurisdiction in such courts and waive any objection based on venue or inconvenient forum.

21Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, design elements, user interface design, software, algorithms, and the underlying source code, is the exclusive property of Vertali Group and/or Platform Entertainment Group™ and is protected by applicable copyright, trademark, trade secret, and other intellectual property laws. The Haus by Vertali™ is a registered trademark of Vertali Group. You may not copy, reproduce, distribute, modify, reverse-engineer, or create derivative works from any part of the Platform without the prior written consent of Vertali Group.

22Force Majeure

Vertali Group shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions or orders, labour disputes, power failures, internet or telecommunications failures, pandemics, epidemics, cyberattacks, or any other events beyond the reasonable control of Vertali Group or its parent company, Platform Entertainment Group™.

23Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

24Electronic Agreement

Your use of the Platform and your submission of any booking constitutes a legally binding electronic signature and your agreement to these Terms, with the same force and effect as a handwritten signature. You agree that your electronic submission satisfies any requirement for a written agreement under applicable law, including but not limited to the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act (UETA), and any equivalent legislation in your jurisdiction. You waive any argument that these Terms are unenforceable due to the absence of a physical signature.

25Entire Agreement

These Terms, together with the Privacy Policy and any policies referenced herein, constitute the entire agreement between you and Vertali Group with respect to the Platform and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to the subject matter hereof. No amendment or modification of these Terms shall be effective unless made in writing by an authorised representative of Vertali Group. No course of dealing, custom, or practice shall be relied upon to modify these Terms.

27Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. Vertali Group makes no warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Platform will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Platform or the server that makes it available will be free of viruses or other harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so the above exclusions may not apply to you.

28Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "last updated" date at the top of the page. Material changes will be communicated to you via a direct message on The Haus by Vertali. Your continued use of the Platform after any change constitutes your acceptance of the revised Terms. If you do not agree to any change, you must stop using the Platform immediately.

29No Waiver

No failure or delay by Vertali Group in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any other or further exercise of that right.

30Assignment

Vertali Group may assign or transfer these Terms and its rights and obligations hereunder without restriction. You may not assign or transfer these Terms or your rights under them without the prior written consent of Vertali Group.

31Third-Party Services

The Platform integrates with The Haus by Vertali for authentication and avatar retrieval, and with the events.vertali.net platform for reward intake via a server-to-server HMAC-secured endpoint. We are not responsible for the content, privacy policies, or practices of these third-party services. Your interactions with them are governed solely by their own terms and policies.

32Communications

By using the Platform, you consent to receive communications from us electronically, including notifications about your bookings, balance changes, and policy updates. We will communicate with you via direct messages on The Haus by Vertali or via email if one is associated with your account.

33Copyright Policy

Vertali Group respects the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement on the Platform, please contact us at the address listed in the Privacy Policy.

34Acknowledgement

By signing in and using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. You further acknowledge that:

• Your use is entirely voluntary.
• The time-off benefit is offered at the sole discretion of Vertali Group and may be withdrawn at any time.
• You have had the opportunity to seek independent legal advice regarding these Terms.
• You accept all booking rules, including the designated day-off restrictions and approval process, as fair and reasonable.
• You understand that earned days are a privilege to be used meaningfully, not wasted.
